Agreement to Terms
These Terms and Conditions ("Terms") govern your use of Prime Conon's website and strategic advisory services. By accessing or using our services, you agree to be bound by these Terms and all applicable laws and regulations.
Prime Conon reserves the right to modify these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms.
If you disagree with any part of these Terms, you may not access our services or use our website.
1. Definitions
"Service" refers to strategic advisory services, consulting engagements, workshops, and related professional services provided by Prime Conon.
"User" means any person or entity accessing our website or utilizing our services.
"Content" includes all text, images, documents, methodologies, and materials available through our website or services.
"We/Us/Our" refers to Prime Conon Pte Ltd, a company registered in Singapore.
"Client" means any individual or organization that has entered into a service agreement with Prime Conon.
"Confidential Information" means any non-public information disclosed during the course of our engagement.
2. Use of Services
2.1 Eligibility
- Services are provided for professional and business purposes only
- Users must be at least 18 years old or authorized representatives of organizations
- Users must have legal capacity to enter into binding agreements
- Account registration requires accurate and complete information
2.2 Account Responsibilities
- Users are responsible for maintaining confidentiality of account credentials
- Users must notify us immediately of unauthorized access
- Users are liable for all activities under their account
- Providing false information may result in termination of services
2.3 Acceptable Use
- Services must be used in compliance with all applicable laws
- Users must respect intellectual property rights
- Professional conduct is required in all interactions
- Services may not be used for illegal or unethical purposes
3. Prohibited Uses
Users are strictly prohibited from:
- Violating any applicable laws, regulations, or professional standards
- Infringing on intellectual property rights or proprietary information
- Transmitting harmful code, viruses, or malicious software
- Attempting unauthorized access to systems or data
- Engaging in fraudulent or deceptive practices
- Harassing, threatening, or harming other users or staff
- Reverse engineering or attempting to derive source code
- Reselling or redistributing services without authorization
4. Intellectual Property Rights
4.1 Ownership
All content, methodologies, frameworks, and materials remain the exclusive property of Prime Conon. This includes but is not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations.
4.2 Limited License
Clients are granted a limited, non-exclusive, non-transferable license to use deliverables for internal business purposes only. This license does not include rights to reproduce, distribute, or create derivative works without written permission.
4.3 Client Materials
Clients retain ownership of their proprietary information shared during engagements. Prime Conon is granted license to use such materials solely for service delivery purposes.
4.4 Feedback and Suggestions
Any feedback or suggestions provided become property of Prime Conon and may be used without compensation or attribution.
5. Service-Specific Terms
5.1 Strategic Advisory Services
- Engagement scope defined in separate service agreements
- Deliverables subject to client cooperation and information provision
- Recommendations based on information available at time of analysis
- Implementation remains client's responsibility
5.2 Workshop Services
- Minimum participant requirements may apply
- Rescheduling subject to availability and notice periods
- Materials provided for participant use only
- Recording prohibited without prior consent
5.3 Payment Terms
- Fees outlined in service agreements or proposals
- Payment due within 30 days of invoice unless otherwise agreed
- Late payments subject to interest at 1.5% per month
- Expenses billed separately with supporting documentation
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Proprietary business information and trade secrets
- Strategic plans and financial data
- Methodologies and analytical frameworks
- Client lists and relationship details
Confidentiality obligations survive termination of services and continue for five (5) years unless otherwise agreed. Exceptions apply to information that:
- Becomes publicly available through no breach of this agreement
- Was rightfully known prior to disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
7. Disclaimers and Limitations
IMPORTANT: Please read this section carefully as it limits our liability to you.
7.1 Service Disclaimer
Services are provided on an "as is" basis without warranties of any kind, either express or implied. We do not warrant that services will meet all requirements or produce specific business outcomes.
7.2 No Guarantee of Results
Strategic recommendations are based on professional judgment and available information. Business success depends on numerous factors beyond our control. We make no guarantees regarding specific outcomes or returns on investment.
7.3 Limitation of Liability
Our total liability for any claim arising from services shall not exceed the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, special, or punitive damages.
7.4 Indemnification
Clients agree to indemnify and hold Prime Conon harmless from claims arising from their use of our services, violation of these Terms, or infringement of third-party rights.
8. Dispute Resolution
8.1 Good Faith Resolution
Parties agree to attempt resolution through good faith negotiations before pursuing formal proceedings.
8.2 Mediation
If informal resolution fails, disputes shall be submitted to mediation under Singapore Mediation Centre rules.
8.3 Arbitration
Unresolved disputes proceed to binding arbitration under Singapore International Arbitration Centre rules.
8.4 Governing Law
These Terms are governed by Singapore law. Exclusive jurisdiction lies with Singapore courts for matters not subject to arbitration.
9. Termination
9.1 Termination by Either Party
Either party may terminate services with 30 days written notice, subject to completion of agreed milestones and payment for work performed.
9.2 Immediate Termination
We may terminate immediately for:
- Violation of these Terms or service agreements
- Non-payment of fees beyond 60 days
- Illegal or unethical conduct
- Breach of confidentiality obligations
9.3 Effect of Termination
Upon termination:
- All outstanding fees become immediately due
- Licensed materials must be returned or destroyed
- Confidentiality obligations continue
- Completed deliverables remain client property
10. General Provisions
10.1 Entire Agreement
These Terms, together with service agreements, constitute the entire agreement between parties.
10.2 Severability
If any provision is deemed invalid, remaining provisions continue in full force.
10.3 No Waiver
Failure to enforce any right does not constitute waiver of that right.
10.4 Assignment
Rights under these Terms may not be assigned without written consent.
10.5 Force Majeure
Neither party liable for delays due to circumstances beyond reasonable control.
